Spacetalk Completes Placement

Highlights

• Placement to raise up to $0.76 million completed

Spacetalk Limited (ASX: SPA) ("Spacetalk" or "the Company") is pleased to announce that the Company has successfully secured commitments for a capital raising of $0.76 million. In addition, the Company confirms that it expects to announce a partially underwritten nonrenounceable Rights Issue on a 1-for-2.5 basis to raise additional capital to provide working capital and capital to support strategic initiatives in the short term.

Veritas Securities Limited acted as lead manager to the Placement and will act as lead manager to the Rights Issue (in due course) and will receive up to 6% of the total capital raised as the fee for this service, plus 4,000,000 options and a further 1 option for every $1.50 raised, exercisable at $0.035 and expiring on 22 September 2025 (Options), subject to shareholder approval.

Placement

Spacetalk has completed a single tranche Placement to professional and sophisticated investors of 34.0 million new shares at $0.022 to raise $0.76 million under the Company's ASX Listing Rule 7.1 placement capacity. In addition, subscribers into the placement will receive one Option for every 2 new shares that they have subscribed for, subject to the approval of Spacetalk's shareholders.
