Entitlements Offer Close
Non-Renounceable Rights Issue Close
Spacetalk Ltd. (ASX: SPA) (“Spacetalk” or “Company”), the Australian company that provides safety and connectivity to families, advises of the close of the Non-Renounceable Rights Issue (“Rights Issue”) that was announced to ASX on 28 August 2023.
The Rights Issue offered eligible shareholders, registered on the record date, the ability to subscribe for 1 new Spacetalk share for every 2.5 shares held. New shares will be at an issue price of $0.022 per share plus 1 free attaching option for every 2 shares subscribed.
The Rights Issue was seeking to raise a maximum of $2.73 million (before costs). Further information on the Rights Issue is available in the Company’s Entitlements Offer Prospectus released to ASX on 28 August 2023.
Spacetalk has received valid applications for 92,650,068 new shares and 46,325,034 options (subject to rounding) raising a total of $2,038,301.50 (before costs). This includes new shares and new options which were applied for by eligible shareholders as part of the Shortfall Offer. The Company has accepted all applications for Shortfall Securities applied for by eligible shareholders in addition to their entitlements.
Spacetalk Directors have taken up their full entitlements and subscribed to acquire $213,073 of the Shortfall Offer, representing 9,685,136 new shares and 4,842,568 new options (subject to rounding). The issue of these securities remains subject to shareholder approval at a forthcoming Annual General Meeting of shareholders.
In accordance with the terms of the Entitlements Offer, the Entitlements Offer is underwritten up to $850,000 with the underwriter having subscribed $400,355 to date. After considering the underwritten shortfall amount of $449,645, a balance of $250,997.38 remains available for

subscription under the Shortfall offer which remains open until 27 November 2023, being 3 months from the Close Date of the Entitlements Offer, unless advised otherwise by the Company.
In accordance with the Entitlements Offer timetable, the Company will issue shares that are the subject of valid applications, including Shortfall Issue applications accepted, on 28 September 2023. The Company will issue Committed Shortfall Shares and Options once cleared funds have been received also in accordance with the timetable.
