Share Purchase Plan Results

Highlights

• Spacetalk Share Purchase Plan closes raising $1.5 million

• Total new equity capital raised $9.5 million

Spacetalk Ltd. (ASX:SPA) (“Spacetalk”), developer of innovative technologies that keep families safe and connected, announces that its Share Purchase Plan (“SPP”) closed on 2 December 2021 having raised $1.497 million. Coupled with its recent two-tranche placement, Spacetalk will have raised $9.497 million of new equity capital (before costs).

Spacetalk intends to use the net proceeds of this raising for working and growth capital, including to resource its North American expansion and to meet market demand from existing distribution channels. Proceeds will also be used to develop Spacetalk’s next generation of wearables and applications.

SPP shares are expected to be issued on 8 December 2021 and to commence quotation on the ASX on 9 December 2021.

Placement tranche 2 shares, in the amount of approximately $2.4 million (before costs), are expected to be issued on 10 December 2021 and to commence quotation on the ASX on 13 December 2021.

Veritas Securities Limited acted as the Lead Manager to the capital raising.

Spacetalk confirms the total number of new shares to be issued under the SPP will be 7,879,040 and the total number of placement shares to be issued (via tranche 1 and 2) will be 42,105,264. Consequently, Spacetalk can also confirm that the Pure Asset Management warrant exercise price will be reset to $0.2169 per share.
