Annual General Meeting – Clarification Statement

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), refers to the Annual General Meeting Notice of Meeting ( Notice ) issued on 20 October 2022 and advises that on page 10 of the Notice the Voting Consequences in relation to Resolution 1 states that:

“As Shareholders voted in favour of the Company’s Remuneration Report at its last annual general meeting, the Spill Resolution is not relevant for this Annual General Meeting.”

The Company confirms that at its last annual general meeting, more than 25% of votes were cast against the Remuneration Report, triggering a second strike in accordance with s250U of the Corporations Act (2001) Cth . As a result a spill resolution was put to the last annual general meeting and was voted against by shareholders. A Spill Resolution is not relevant for this Annual General Meeting as a result.

This announcement has been authorised by the Spacetalk Board.
