Item 8.01 Other Events

On November 7 , 2013, Southern Missouri Bancorp, Inc. (NASDAQ: SMBC, “Southern”), the parent corporation of Southern Bank, and Citizens State Bankshares of Bald Knob, Inc. (“Citizens”), the parent corporation of Citizens State Bank, announced the signing of a definitive stock purchase agreement whereby Southern will acquire Citizens in an all-cash transaction valued at approximately $5.9 million, subject to certain adjustments for transaction expenses and Citizen’s equity at closing. Immediately upon closing, Citizens State Bank will be merged with and into Southern Bank. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
