Re: Southern Energy Corp. (the "Corporation") Final Short Form Prospectus dated July 4, 2022

We refer to the final short form prospectus dated July 4, 2022 (the "Prospectus" ) of the Corporation relating to the offering of 26,060,000 common shares of the Corporation (the " Offered Shares ") at a price of $0.87 per Offered Share for aggregate proceeds of $22,672,200, exclusive of the Agents' Option (as such term is defined in the Prospectus).

We hereby consent to being named on the face page of the Prospectus and under the heading "Interests of Experts" and consent to being named and to the use of our opinion under the heading "Eligibility for Investment", which opinion is provided as of the date of the Prospectus.

We confirm that we have read the Prospectus and have no reason to believe that there are any misrepresentations (as defined in the Canadian securities legislation) in the information contained in the Prospectus that are derived from our opinions referred to above or that are within our knowledge as a result of the services we provided in connection with such opinions.
