  1. On 4 December 2012 Southern Cross Electrical Engineering Limited (ACN 009 307 046) (“SXE”) issued 36,303 fully paid ordinary shares (“Shares”) at nil consideration. The Shares were issued following the vesting and exercise of financial year 2011 Performance Rights under SXE’s Senior Management Long Term Incentive Plan.

  2. SXE issued the Shares without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) (“the Act”).

  3. This notice is being given under section 708A(5)(e) of the Act.

  4. As at the date of this notice SXE has complied with:

  5. a. the provisions of Chapter 2M of the Act as they apply to the SXE; and

  6. b. section 674 of the Act.

  7. As at the date of this notice, there is no information that is excluded information (as that term is used in section 708A(7) and (8) of the Act) in relation to SXE.
