EXPLANATORY NOTE

On August 6, 2024, SoundThinking, Inc. (the “Company”) filed a Form 8-K to report certain events under Item 2.02 and Item 9.01. Due to an inadvertent error, the submission header coding referred erroneously to Item 5.07 and Item 9.01 and not to Item 2.02 and Item 9.01. This Form 8-K/A is being filed to correct the submission header coding and to also disclose under Item 2.02 and furnish as part of Exhibit 99.1 a transcript of the telephone conference call held by the Company in connection with its press release announcing its financial results for the quarter ended June 30, 2024. The content of this Form 8-K/A is otherwise identical to the content of the Form 8-K filed on August 6, 2024.

Item 2.02 Results of Operations and Financial Condition.

On August 6, 2024, the Company issued a press release announcing its financial results for the quarter ended June 30, 2024. In connection with the press release, the Company held a telephone conference call that was webcast on August 6, 2024. The full text of the press release and a transcript of the telephone conference call are furnished as Exhibit 99.1 to this Current Report on Form 8-K and are incorporated by reference in this Item 2.02.The information included in Item 2.02 of this Current Report on Form 8-K and Exhibit 99.1 attached hereto are being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
