The following is a Company Announcement issued by Island Hotels Group Holdings p.l.c. (the Company) pursuant to the Malta Financial Services Authority Listing Rules.

Reference is made to the announcement issued by the Company on the 20 February 2014 (IHG49) in relation to the entry by the Company into a Promise of Sale Agreement for the sale of its shares in Coastline Hotel Limited ("CHL") to Claret Holdings Limited, a company registered in Malta with registration number C39960 and with its registered office at European School of English, Paceville Avenue, St. Julians ("Claret").

The completion of the sale was conditional on a number of conditions precedent. Such conditions have been satisfied and accordingly the Promise of Sale Agreement has become unconditional and the shares in CHL have been transferred in favour of Claret.
