Sub: Intimation of Grant of Stock Options under Employee Stock Option Plan 2013
This is to inform you that the Nomination and Remuneration Committee of the Company has approved grant of 400,000 stock options through Trust to KMP (eligible employee) of the Company as per contract, under the Sonata Employee Stock Option Plan 2013, w.e.f. April 8, 2022, at an exercise price of Rs. 785.45 per option as per closing price on NSE on April 7, 2022. As per the said Plan, each of the stock option entitles the holder to apply for one fully paid-up Equity Share of the Company of Re.1/- each.
Vesting Period will be over a period of 4 years in equal proportions which will be accelerated as per the employment terms upon fulfillment of the conditions prescribed. The stock options are exercisable from the date on which option vests until the employee is in the employment with the Company, and other Terms will be, as per the Plan administered through Sonata Employee Stock Option Plan, 2013 and upon exercise of stock options, the Shares will be allotted by the Trust.
