Subject: Outcome of Board Meeting- Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR")
Pursuant to the provisions of Regulation 30 of SEBI LODR, we hereby inform you that the Board of Directors of the Company at its meeting held on April 25, 2026, has based on the recommendation of Nomination and Remuneration Committee considered the following:
- Took note of and accepted that upon expiration of his term on May 8, 2026, Mr. Samir Dhir (DIN:03021413) will cease and vacate office as Managing Director & Chief Executive Officer of the Company. Accordingly, Mr. Samir Dhir has also resigned from the position of Executive Director with effect from close of business hours on May 8, 2026 (the date of expiry of his term as Managing Director & Chief Executive Officer).
- Approved the appointment of Mr. Rajsekhar Datta Roy as the Chief Executive Officer of the Company with effect from May 9, 2026 for a period of 3 years.
The details as required under Regulation 30 of SEBI LODR, read with Schedule III of the SEBI LODR and SEBI Master Circular having reference HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are provided in the enclosed Annexures A, B & C.
Please note that the Board Meeting commenced at 5:53 pm and concluded at 6:10 pm.

Upon expiration of my term on May 8, 2026, I will cease and vacate office as Managing Director & Chief Executive Officer of Sonata Software Limited (the “Company”).
Having regard to my personal priorities at this time, I have decided not to offer myself for reappointment upon expiration of my term.
Accordingly, I also hereby submit my resignation from the position of Executive Director of the Company, with effect from the close of business hours on May 8, 2026 (last working date).
This has been a considered decision, and I am grateful to the Board for the opportunities, trust, and support extended to me during my tenure. It has been a privilege to lead the Company and contribute to its growth and transformation over the last 4 years. I wish the Company continued success and growth in the years ahead.
