Sub: Intimation of Incorporation of Step-down Subsidiary in Mexico
With reference to the captioned subject, we would like to inform you that Sonata Latin America S. DE R.L. DE C.V. (hereinafter referred to as “ SLA ”) has been incorporated in Mexico as a subsidiary of Sonata Software North America (hereinafter referred to as “ SSNA ”) and as a step-down subsidiary of Sonata Software Limited (hereinafter referred to as “ Company ”) with effect from 5[th] May, 2022.
The subscribed share capital of SLA is 2,000 Mexican Pesos for which no government/ regulatory approval is required. The initial subscription in SLA by the SSNA does not fall under the purview of Company’s Related Party transaction and the promoter/ promoter group/ group companies do not have any interest in SLA.
The newly incorporated entity is yet to commence its operations.
