ANNOUCEMENT

Sonaecom, SGPS, S.A. ("Sonaecom") informs that, on this date, its subsidiary Sonae Investment Management – Software and Technology, SGPS, S.A. ("Sonae IM") and remaining shareholders reached an agreement with Thales Europe, S.A. ("Thales") to sell the total share capital and voting rights of Maxive – Cybersecurity, SGPS, S.A. ("Maxive").

The completion of the transaction is subject to the fulfilment of customary conditions for an agreement of this nature, including regulatory approval, being expected to occur until 30th November 2022.

The transaction has an underlying Enterprise Value of the target of Eur 120.000.000,00 and is estimated to have a positive impact on the Consolidated Results of Sonaecom amounting approximately to Eur 63.000.000,00. These amounts may vary considering the effective closing date of the transaction and the respective financial performance of Maxive and its subsidiaries until such time.

With this transaction, Sonae IM continues to carry out an active management strategy of its portfolio of technology-based companies, with the aim of consolidating its position as a reference international investor, while reinforcing the growth path and relevance in the global market of Maxive and its subsidiaries, which represents a clear opportunity for the latter and its people.
