ANNOUNCEMENT OF MATERIAL INFORMATION

Sonae Capital, SGPS, S.A. (Sonae Capital) hereby announces that, through its subsidiary CapWatt, SGPS, S.A., it has executed a purchase and sale agreement with Tecneira – Tecnologias Energéticas, S.A., regarding the acquisition of 100% of the share capital and voting rights of the company Ventos da Serra – Produção de Energia, S.A., that owns and operates a photovoltaic plant with installed capacity of 10MW, located at Ferreira do Alentejo, for a global price of 29.1 million Euro.

The above mentioned operation is subject to prior notification to the Portuguese Competition Authority in accordance with the applicable legislation and, consequently, will only become effective following a decision from this entity that allows the transaction enter into force.

We also inform that Sonae Capital acquired, from the same entity, the company Lusobrisa - Produção de Energia Eléctrica, S.A., which owns a wind farm located in Loures and Arruda dos Vinhos, with installed capacity of 5MW, for the total amount of 5.4 million Euro. This transaction is already effective since it was not subject to prior authorizations.

As a result, and following the above mentioned decision, Sonae Capital's portfolio of cogeneration and renewable energy plants (solar and wind) will be increased by two new units. Following these two acquisitions, the total installed capacity held or operated by CapWatt, SGPS, S.A.'s controlled companies will be of 73MW.
