ANNOUNCEMENT OF MATERIAL EVENT

Sonae Capital hereby informs that, through its subsidiary SOLTROIA - SOCIEDADE IMOBILIÁRIA DE URBANIZAÇÃO E TURISMO DE TRÓIA, SA, has signed a Promissory Purchase & Sale contract regarding a set of Real Estate assets in Troia designated as UNOP 7, 8 and 9, for the global amount of 50 million Euros with ROSP Group. The deed shall be executed once a set of conditions is met and the transactions' proceeds have already been secured.

The project to be developed by ROSP Group is based on a high-quality low-density touristic development carefully fitted to the location's environment and surroundings. Therefore, contacts with local and central entities shall be immediately initiated to ensure the sustainability of the project.

We believe that this key investment will be an important contribution for both job creation and a balanced tourism development in the region.
