Results of the Ordinary Shareholders' Meeting of Solvac

Brussels, May 11, 2021 - The Ordinary General Shareholders' Meeting of Solvac held virtually on May 11, 2021.

All the resolutions of this Meeting were adopted by the shareholders.

In particular, the Ordinary General Meeting approved the payment of dividend per share at € 5.44 gross for the fiscal year 2020, maintained at the same level compared to 2019.

During this meeting, the shareholders also approved:

• the Remuneration Policy established in accordance with Article 7:89/1 of the Belgian Companies and Associations Code, for a four-year term, ending in May 2025,
• the re-election of Mrs Savina de Limon Triest and of Mr Patrick Solvay as Board Member for a period of four years, until May 2025,
• the appointment of Mrs Valentine Delwart as Board Member for a period of four years, replacing Mr Jean-Pierre Delwart whose mandate cannot be renewed with regard to the rules applied by the company in terms of age,
• the appointment of Mrs Savina de Limon Triest and Mrs Valentine Delwart as independent Board Members.
