Extraordinary general meeting held

Reference is made to previous stock exchange notices

from Solstad Offshore ASA (the "Company") regarding

the Company's new financing plan.

An extraordinary general meeting was held in the

Company today, 13 July 2016. All items on the agenda

were approved in accordance with the notice of the

general meeting and the nomination committee's

recommendation. A copy of the minutes of the

extraordinary general meeting is attached to this

stock exchange notice.

As announced on 22 June 2016, the Company's shares

will trade exclusive of the right to receive

subscription rights in the Subsequent Offering from

and including tomorrow, 14 July 2016. Detailed terms

of the Subsequent Offering will be included in the

prospectus, which is expected to be published early

August 2016.
