SOLIDWORLD GROUP: DEPOSITO DICHIARAZIONE AMMINISTRATORI AI SENSI DELL'ART. 2343 QUATER C.C.

Treviso, 30 gennaio 2024 – SolidWorld Group S.p.A. (ticker S3D), azienda a capo del Gruppo leader nel settore delle tecnologie industriali di design e stampa 3D, della bio-fabbricazione 3D e delle linee di produzione di pannelli fotovoltaici di ultima generazione, facendo seguito a quanto già comunicato in data 27 dicembre 2023 relativamente all'aumento di capitale con esclusione del diritto di opzione offerto in sottoscrizione al Sig. Davide Torricelli, al Sig. Marco Mazzetti e a Cleis Tech S.r.l. e da questi ultimi liberato mediante il conferimento delle rispettive partecipazioni detenute rispettivamente in Solid Innovation S.r.l. e in Design Systems S.r.l., informa che, in ottemperanza alla normativa di riferimento, gli amministratori della società hanno provveduto alle verifiche richieste dall'articolo 2343-quater, terzo comma, lettera d) del codice civile, depositando presso il registro delle imprese la prevista dichiarazione riportante le relative risultanze (l'"Attestazione").

Completata nel 2023 l'operazione di conferimento di un ramo d'azienda tecnologico da parte della società Formula E S.r.l., società del gruppo Vismunda S.r.l., leader mondiale di automazione per equipment dedicato al settore delle energie rinnovabili. Nel primo semestre 2023 il Gruppo SolidWorld ha registrato ricavi per 33,1 milioni di euro, un valore della produzione per circa 35,2 milioni di euro con un EBITDA pari a 2,8 milioni di Euro. SOLIDWORLD GROUP: DIRECTOR STATEMENT FILING PURSUANT TO ARTICLE 2343-QUATER, C.C.

Treviso, January 30, 2024 - SolidWorld Group S.p.A. (ticker S3D), parent of a leading Group engaged in industrial design and 3D printing technologies, 3D biofabrication, and latest generation photovoltaic panel production lines, following on from the previous announcement of December 27, 2023 regarding the capital increase with exclusion of option rights offered in subscription to Mr. Davide Torricelli, Mr. Marco Mazzetti and Cleis Tech S.r.l. and released by them through the contribution of their respective stakes held in Solid Innovation S.r.l. and Design Systems S.r.l., respectively, informs that, in compliance with the relevant regulations, the Company's Directors have carried out the verifications required by Article 2343-quater, third paragraph, letter d) of the Civil Code, filing with the Companies Registration Office the required statement reporting the relative outcomes (the "Statement").
