F1: This option was granted on June 12, 2025 and vests in full on the earlier to occur of the one-year anniversary of the grant date and immediately prior to the Issuer's next annual meeting of stockholders occurring after the grant date, and will vest automatically as to 100% of the unvested portion of such option upon specified change in control events.
F2: Consists of options to purchase shares of the Issuer's common stock awarded to Adam Stone in connection with his role as a member of the Issuer's Board of Directors. Mr. Stone is the Chief Investment Officer of Perceptive Advisors, LLC (the "Advisor"). The Advisor may be deemed to have an indirect pecuniary interest in the options to purchase common stock of the Issuer reported herein because the Advisor has the right to receive the director compensation provided in respect of Mr. Stone's board service through a partial management fee offset.
F3: Joseph Edelman is the managing member of the Advisor. The Advisor serves as the investment manager to Perceptive Life Sciences Master Fund Ltd. (the "Master Fund").
