Sub: Grant of Options under Solara Employee Stock Option Plan 2018

We wish to inform you that the Solara Employee Stock Option Plan 2018 of 12,30,000 stock options approved by the Shareholders at the Annual General Meeting held on September 28, 2018.

The Nomination & Remuneration Committee of the Board of Directors of the Company held today has granted 4,85,000 stock options to the eligible employees at ^a grant price of Rs.205/ per option (exercise price per share), which is 25% discount to the closing market price of Rs.272.65 at NSE as on September 28, 2018. The vesting period of these stock options is from ^a period of one to three years. The options may be exercised within ^a period of ¹²⁰ days from the date of vesting.
