Sub.: Receipt of call money in respect of First Call on the outstanding 1,19,98,755 (One Crore Nineteen Lakhs Ninety-Eight Thousand Seven hundred and fifty-five) partly paid-up Rights Equity Shares of the Company.

Ref. : Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements), Regulations, 2015, as amended.

This is further to our intimation dated March 26, 2025 informing about making of the first call of Rs. 131.25 (Rupees One Hundred and Thirty-One and Paise Twenty-Five Only) per Rights Equity Share (“ First Call ”) on the outstanding 1,19,98,755 (One Crore Nineteen Lakhs Ninety-Eight Thousand Seven hundred and fifty-five) partly paid-up equity shares of the Company having a face value of Rs. 10.00 each with Rs.3.50 paid-up (“ Rights Equity Shares ”), which were allotted on June 19, 2024 on a rights basis pursuant to the Letter of Offer dated May 09, 2024.

In relation to the said First Call, this is to inform that the Company has received First call money aggregating to Rs. 149,49,06,918.75/- (Rupees One Forty-Nine Crores Forty-Nine Lakhs Six Thousand and Nine Hundred and Eighteen and Seventy-Five Paise Only) comprising of 1,13,89,767 (One Crore Thirteen Lakhs Eighty-Nine Thousand Seven Sixty-Seven) Rights equity shares of Rs. 131.25/- each (at a Face Value of Rs. 3.50/- each and Securities Premium of Rs. 127.75/- each). Accordingly, the Rights Issue Committee of the Board of Directors of the Company at its meeting held on May 06, 2025, approved conversion of 1,13,89,767 partly paid-up equity shares having a face value of Rs. 10.00 each with Rs. 3.50 paid-up and bearing ISIN INE624Z01016 in to partly paid-up equity shares having a face value of Rs.10.00 each with Rs.7.00 paid-up bearing ISIN : IN9624Z01022 (hereinafter referred to as the “ Converted Rights Equity Shares ”).

The Company shall take necessary steps to make corporate actions / obtaining listing and trading approvals in respect of the Converted Rights Equity Shares.

As on date, the paid-up capital of the Company is Rs. 36,05,42,670/- (Rupees Thirty- six Crores Five Lakhs Forty – two Thousand Six Seventy Only) divided into 3,60,54,267 (Three Crores Sixty Lakhs Fifty Four Thousand and Two Sixty-Seven) fully paid-up equity shares having a face value of Rs.10/- (Rupees Ten Only) each bearing ISIN INE624Z01016, and 1,13,89,767 (One Crore Thirteen Lakhs Eighty Eighty-Nine Thousand Seven Sixty-Seven) Rights equity shares of Rs.7/partly paid-up bearing ISIN IN9624Z01022 and further, in relation to the balance 6,08,988 partly paid-up (Rs.3.50 paid-up) Rights Equity Shares on which the First Call money aggregating to Rs. 7,99,29,675/- remains unpaid.
