REC Solar ASA: Notice of Extraordinary General Meeting

Oslo, August 6, 2015: Notice is hereby given that an Extraordinary General

Meeting of REC Solar ASA (in liquidation) (the "Company") will be held at

Advokatfirmaet Schjødt AS, Ruseløkkveien 14, Oslo, Norway on August 27, 2015 at

12.00 CET.

The notice is attached hereto and is also available on the Company's website

www.recgroup.com/dissolution. You may register your attendance and cast advance

votes prior to the general meeting by accessing the abovementioned website or

through VPS Investor Services.

Distribution of the liquidation proceeds to the shareholders is expected to be

made prior to the Extraordinary General Meeting at a time to be announced

through Oslo Børs and on the Company's web page www.recgroup.com/ir. The

shareholders are expected to receive a cash payment of approximately NOK 106.9 -

107.2 per share. An update on the timing of the distribution of the liquidation

proceeds and the amount that the shareholders will receive will be announced

shortly through Oslo Børs and on the Company's web page www.recgroup.com/ir.
