NextEnergy Solar Fund Limited ("NESF")

Result of General Meeting

NESF is pleased to announce that, at a general meeting of the Company held earlier today, the resolutions to:

·     authorise  the Directors to allot up to 250,000,000 New Shares (which may be Ordinary Shares or C Shares) under the Placing Programme on a non-pre-emptive basis;

·     to amend the Articles with respect to the rights attaching to the C Shares by amending the Calculation Date definition and Calculation Ratio; and

·     amend the Articles with respect to the provisions relating to the holding of Board meetings in Guernsey;

as set out in the circular to shareholders dated 9 October 2014 (the "Circular"), were duly passed.  Details of the proxy votes lodged before the meeting will be available shortly at www.nextenergysolarfund.co.uk.  A copy of the resolutions passed at the general meeting have been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.
