Ørn Software Holding AS – Notifiable transactions in relation to private placement

Oslo, 24 March 2021. Reference is made to the announcement dated 24 March 2021 by Ørn Software Holding AS ("Ørn Software" or the "Company") regarding a completed private placement of new and existing shares in the Company (the "Offering").

In connection with the Offering, the following primary insiders of the Company and close associates of primary insiders have carried out notifiable transactions as set out below.

• Viking Venture 11 AS and Viking Venture 11B AS, both of which are close associates of Board member Erik Fjellvær Hagen have agreed to lend out 2,779,253 shares in the Company to Pareto Securities AS, as stabilisation manager, acting on behalf of ABG Sundal Collier ASA and Pareto Securities AS (the "Managers"), for the Offering.

• Viking Venture 11 AS, Viking Venture 11B AS and Viking Venture 11,5 AS, all of which are close associates of Chairman Joar Welde and Board member Erik Fjellvær Hagen have agreed to sell in aggregate 6,330,200 shares in the Company at the offer price of NOK 10.50 per share (the "Offer Price").

• Valø Invest AS, a close associate of CFO Vidar André Løken, has agreed to sell 193,735 shares in the Company at the Offer Price.

• Torgeir Pedersen, Chief Product Officer, has exercised 82,973 share options at a price per share option of NOK 1.51 and agreed to sell 45,420 shares in the Company at the Offer Price.

• Camiveo AS, a close associate of Terje Wibe, Board member, has been allocated 23,809 Offer Shares at the Offer Price.

• Waal Snertingdalen AS, a close associate of Anne Lise Waal, Board member, has been allocated 9,523 Offer Shares at the Offer Price.

• Onyvamos AS, a close associate of Berit Lid Scharff, Board member, has been allocated 8,000 Offer Shares at the Offer Price.

The Offering is expected to be settled on or about 29 March 2021.
