This is with reference to the email dated 29[th] November, 2022 received from your good office for submission of Clarification with respect to Outcome of Board Meeting filed on 10[th] November, 2022 under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. We hereby submit that the Board of Directors considered and approved appointment of Mr. Garth Brosnan as a Nominee Director of RIB ITWO Software Private Limited with effect from the date of approval of his Director Identification Number (DIN).

Term of appointment: RIB ITWO Software Private Limited has right to appoint, remove or replace Nominee Director till the last repayment date of the Facility amount by the Company.

Disclosure of relationships between directors: None of the Directors are related to Mr. Garth Brosnan

Brief profile:

Mr. Garth Brosnan is registered with the South African Institute of Chartered Accountants. Currently he is working with RIB Software Gmbh as Finance Business Partner International and is responsible for the entire finance and admin function within the international region (MEA, EAJ and Pacific) of RIB Software Group. He has an experience of 18+ years working in Finance, HR and Admin fields. He’ll act as a Nominee Director appointed by RIB ITWO Software Private Limited on the Board of the Company.

Pursuant to SEBI directions dated 14 June 2018 and based on the declaration received, we hereby inform that Mr. Garth Brosnan is not debarred from holding the Office of Director by virtue of any order passed by SEBI or any other such authority and therefore, he is not disqualified to be appointed as Director of the Company.
