SUBJET: OUTCOME OF BOARD MEETING HELD ON SATURDAY, 6TH OCTOBER, 2018

With reference to the above, we would like to inform that the Board of Directors of the Company at its meeting held today i.e. 6th October, 2018 which commenced at 3.00 PM and concluded at 4.00 PM inter alia have considered and approved the following:

1. The approval of the Board is accorded for investment in SoftTech Finland Oy, wholly owned subsidiary in Finland of an amount not exceeding 3,00,000 Euros by way of Equity / enhancement in Equity, or enhancement of Preference stock/ Convertible Debt or Grant/ Enhancement of Loan or grant / extension/ enhancement of Guarantees or any other mode as may be agreed from time to time in one or more tranches/ installments as may be required.

2. The approval of the Board is accorded for investment in SoftTech Engineers Inc, proposed subsidiary in USA of an amount not exceeding US $3,50,000 by way of Equity / enhancement in Equity, or enhancement of Preference stock/ Convertible Debt or Grant/ Enhancement of Loan or grant / extension/ enhancement of Guarantees or any other mode as may be agreed from time to time in one or more tranches/ installments as may be required.

3. The Board considered and noted resignation from Mr. Anand Dad as Chief Financial Officer (KMP) of the Company with effect from 6th October, 2018.

4. Tax Manager with Synchrony International Services Pvt Ltd

5. Finance Head with Bora Group of Companies.

6. Visiting faculty at Symbiosis Law College and Institute of Company Secretaries of India. He is already in employment of the Company as Finance Controller and now being appointed as Chief Financial Officer.

1. The Board of Directors consented for making application for in-principle approval of Stock Exchange for listing of ESOP due for exercise.
