Transaction in own shares

Softcat plc announces today that it has purchased the following number of its ordinary shares of 0.05p each on the London Stock Exchange through J.P. Morgan Securities plc ("J.P. Morgan") as part of its share buy-back programme (the "Programme") announced on 8 January 2026.

The Company intends to cancel the purchased ordinary shares.

Following the cancellation of the purchased shares, the Company's issued share capital will consist of 200,109,411 ordinary shares, each with voting rights. The Company does not hold any shares in treasury.

The above figure of 200,109,411 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (as incorporated into UK domestic law by the European Union (withdrawal) Act 2018), a full breakdown of the individual purchases of ordinary shares made by J.P. Morgan on 8 January 2026 on behalf of the Company as part of the Programme on both an aggregate and individual trade basis is appended to this announcement.
