Sub.: Intimation of date of 41[st ] Annual General Meeting (AGM) and Book Closure for the purpose of holding Annual General Meeting

With reference to the captioned subject and pursuant to Regulation 30, 34 and 42 and of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“ Listing Regulations ”), we write to intimate that 41[st] Annual General Meeting ( AGM ) of the Company shall be convened on Thursday, 29[th] September, 2022 at Unit No. 404, New Udyog Mandir No. 2, Mogul Lane, Mahim (West), Mumbai - 400 016 at 12.00 Noon in compliance of the provisions of Companies Act, 2013 (“ the Act ”).

Pursuant to Section 91 of the Act, the Register of Members and Register of Share Transfer will remain closed from Friday, 23[rd] September, 2022 to Thursday, 29[th] September, 2022 (both days inclusive).

Pursuant to Regulation 44 of SEBI Listing Regulations and Section 108 of the Act read with Rule 20 of the Companies (Management & Administration) Rules, 2014, the Company is pleased to provide e-voting facility which will enable the Members to cast their votes electronically. The remote e-voting period commences on Monday, 26[th ] September, 2022 at 9.00 a.m. and ends on Wednesday, 28[th ] September, 2022 at 5.00 p.m. During this period, Members holding shares in either physical or dematerialized form as on cut-off date Thursday, September 22, 2022, may cast their vote electronically. A person whose name appears in the Register of Members/Beneficial Owners as on cut-off date i.e. September 22, 2022, only shall be entitled to avail the facility of remote e-voting.
