Sale of Fornix Trading Division to Mosadex completed
Fornix BioSciences N.V. announces that the sale of the Trading Division (Dr. Fisher Farma B.V.) approved by the extraordinary general meeting of shareholders of Fornix BioSciences N.V. held on 29 October 2007 has been completed by the transfer of the entire issued share capital of Dr. Fisher Farma B.V. ('Fisher') by Fornix BioSciences N.V. ('Fornix') to Mosadex C.V. in the afternoon of Monday, 31 December 2007.
The purchase price ultimately came to EUR 13.4 million, compared with initial expectations on the part of Fornix that the proceeds from the transaction would be EUR 11.4 million.
The finalised purchase price was made up of a fixed amount of more than EUR 2.4 million for the goodwill plus the full cost of Fisher's invested capital (fixed assets plus working capital) as at 1 October 2007 – the effective date of takeover under the transaction – amounting to EUR 11.0 million. The initial estimates had been based on a figure of at least EUR 9.0 million for the capital invested in Fisher as at the effective takeover date.
When the provisional results for 2007 are published on 29 January 2008, a more detailed analysis of the financial and other effects of the disposal of Fisher will be included, taking into account Fisher's results for the period 1 January to 30 September 2007, transaction costs and other exceptional (non-recurring) items as well as the above figures.

Fornix BioSciences N.V. is a listed company (Euronext Amsterdam: AFORBI) which focuses on the development and sale of diagnostic and therapeutic allergen products and the distribution of medical aids and medical and nursing consumables. The Allergy Division, the most profitable division, consists of Artu Biologicals Europe and, since 1 June 2007, Artu Biologicals Deutschland. It specialises in the development, production and sale of a broad range of patient-friendly immunotherapeutic products under several brand names, including Oralgen® and Igevac®, used to treat allergies caused by agents such as grass and tree pollen and house-dust mites. The development of these products is supported by highquality R&D and pan-European clinical studies of effectivity.
The Medical Aids Division, consisting of Laprolan in Beuningen, specialises in the marketing, sale and distribution of an extensive range of medical aids and medical and nursing consumables.
