PROVISIONAL 2005 RESULT: 47% NET PROFIT GROWTH

2005 highlights

• Net profit 47% higher at € 9.7 million (2004: € 6.6 million)

• Net turnover up 14% to € 87.7 million (2004: € 76.6 million)

Fornix BioSciences, the Euronext-quoted biopharmaceutical company (code AFORBI), had another excellent year in 2005. Provisional figures indicate growth in Fornix’s net profit for the 2005 financial year of 47% to € 9.7 million, compared with € 6.6 million ( € 6,575,000 under IFRS) in 2004. The result for the second half of 2005 even surpassed the first-half figure, which had already significantly exceeded expectations. On the basis of provisional figures, turnover in 2005 was over 14% higher, rising to € 87.7 million, compared with around € 76.6 million in 2004.

In its press release of 5 January 2006, Fornix upgraded its earlier profit growth forecast from at least 35% to at least 45%, on the basis of the Allergy Division’s excellent

performance in November and December 2005. In the same press release, the projected growth in turnover in 2005 was revised upwards from 10% to 14%.

Allergy Division responsible for profit growth

The Allergy Division, whose performance exceeded expectations throughout the year, was mainly responsible for the strong growth in Fornix’s profits. The division’s net profit in 2005 was over 35% up on 2004, with the last two months of the year in particular surpassing all predictions. The Trading Division also had an excellent year, recording over 36% growth in net profit.

The 47% growth in Fornix Biosciences’ net profit was achieved despite a net loss of over €1.0 million in the Theranostics Division, which is being closed down and will not be included in the consolidation in 2006.

Investments in research – in 2005 principally on behalf of the Allergy Division – showed little change at around €1.0 million net (2004: €1.1 million).

Outlook for 2006

Fornix BioSciences predicts growth in net profit of at least 20% to a minimum of €11.6 million (2005: €9.7 million). Consolidated turnover is expected to increase at least 13% to €99.5 million, based on expectations of sustained strong growth in turnover and profit in the Allergy Division, a stable result in the Trading Division and inclusion in the consolidation as from 1 January 2006 of Laprolan/Comformed, the profitable distributor of medical aids acquired at the end of 2005. The termination of the Theranostics Division’s loss-making activities will also contribute to the projected growth in net profit. This profit forecast takes into account a further increase in R&D expenditure on behalf of the Allergy Division to €2.0–2.5 million net (2005: around €1.0 million net).

Calendar

This press release is based on provisional figures and information for the 2005 financial year. The final audited results for 2005, including the profit and loss account, balance sheet and other financial information, will be published before start of trading on 16 March 2006. The General Meeting of Shareholders will be held in Lelystad on 21 April 2006.

De aan Euronext Amsterdam (AFORBI) genoteerde biopharmaceutische

onderneming Fornix BioSciences N.V, heeft wederom een uitstekend jaar achter de rug. Op basis van voorlopige gegevens realiseerde Fornix over het boekjaar 2005 een forse nettowinststijging van 47% tot € 9,7 miljoen, ten opzichte van de € 6,6 miljoen (o.b.v. IFRS € 6,575) in 2004. Daarmee heeft de onderneming de sterk beter dan verwachte resultaatontwikkeling in de eerste helft van 2005 in het tweede halfjaar zelfs overtroffen. De omzet over 2005 is op basis van de voorlopige cijfers uitgekomen op € 87,7 miljoen, ten opzichte van circa € 76,6 miljoen in 2004, een stijging van ruim 14%.

Op 5 januari 2006 verhoogde Fornix de eerder afgegeven verwachte winststijging van tenminste 35% naar tenminste 45%. Deze positieve bijstelling was geheel toe te schrijven aan de uitstekende gang van zaken bij de Allergiedivisie in de maanden november en december 2005. Ook werd in ditzelfde bericht de omzetverwachting voor 2005 bijgesteld van een stijging van 10% naar een toename van 14%.

Allergiedivisie bepalend voor winstsprong

De door het gehele jaar heen beter dan verwachte resultaten van de Allergiedivisie zijn zeer bepalend geweest voor de opnieuw krachtige winstsprong van Fornix. De nettowinst van de Allergiedivisie nam in 2005 ten opzichte van 2004 met 35% toe. Vooral de twee laatste maanden van het jaar waren ver boven alle verwachtingen. Maar ook de Handelsdivisie had met een nettowinst groei van ruim 36% een uitstekend jaar.

De forse nettowinststijging van Fornix BioSciences van 47% werd behaald ondanks een verlies in de beëindigde divisie Theranostics van ruim € 1,0 miljoen netto. Deze divisie zal in 2006 overigens niet meer in de consolidatie zijn opgenomen.

De investeringen in onderzoek - in 2005 hoofdzakelijk ten behoeve van de Allergiedivisie - bleven met circa € 1,0 miljoen netto op nagenoeg hetzelfde niveau als in 2004 (€ 1,1 miljoen).

Vooruitzichten voor 2006

Voor 2006 voorziet Fornix BioSciences een stijging van de nettowinst met tenminste 20% tot minimaal € 11,6 miljoen (2005: € 9,7 miljoen). De geconsolideerde omzet zal naar verwachting met tenminste 13% groeien naar € 99,5. Dit vooruitzicht is gebaseerd op een naar verwachting voortgaande goede winst- en omzetgroei bij de Allergiedivisie, een stabiele resultaatontwikkeling in de Handelsdivisie en op de consolidatie per 1 januari 2006 van de eind 2005 geacquireerde winstgevende distributeur van medische hulpmiddelen Laprolan/ComforMed. Ook het beëindigen van de verlieslatende activiteiten van de Theranostics divisie draagt bij aan een verwachte verbetering van de nettowinst. Tenslotte is in eerdergenoemde winstverwachting ook rekening gehouden met het verder intensiveren van de onderzoeks- en ontwikkelingskosten ten behoeve van de Allergiedivisie naar een niveau van circa € 2,0 tot 2,5 miljoen netto (2005: circa € 1,0 miljoen netto).
