ANNOUNCEMENT

S.N.G.N. Romgaz S.A. informs the shareholders and investors that the Annual Report for the year ended on December 31, 2024, approved by Resolution no. 4 of the Ordinary General Meeting of Shareholders on April 29, 2025, is available starting with April 30, 2025, 8:30 AM (Romania time), as follows:

• in electronic format on the Company's website www.romgaz.ro -> Investors -> Annual Reports;

• in printed format = at the Company's Headquarters, Medias, 4 C.I. Motas Square, Sibiu County.

The Annual Report was prepared in accordance with Annex 15 of Regulation no. 5/2018 on Issuers of Financial Instruments and Market Operations and is published according to art.65 of the Law no. 24/2017 regarding Issuers of Financial Instrument and Market Operations (R), comprising:

• The Consolidated Board of Directors' Report for year 2024;

• Independent practitioner's limited assurance report on S.N.G.N. Romgaz S.A.'s Consolidated Sustainability Statement;

• The Independent Auditor's Report on the consolidated financial statements for the year ended on December 31, 2024;

• Consolidated Financial Statements for the year ended on December 31, 2024, prepared in accordance with the Order of the Ministry of Public Finance no. 2844/2016;

• Company's Management Statement on the Financial Statements of the Group for the year ended on December 31, 2024 and on the Consolidated Board of Directors' Report for year 2024:

• A The Independent Auditor's Report on the separate financial statements for the year ended on December 31, 2024;

• Separate Financial Statements for the year ended on December 31, 2024, prepared in accordance with the Order of the Ministry of Public Finance no. 2844/2016;

• Company's Management Statement on the Financial Statements of the Company for the year ended on December 31, 2024 and on the Consolidated Board of Directors' Report for year 2024.

The Annual Report is submitted to the Bucharest Stock Exchange and the Financial Supervisory Authority.

Also, the Consolidated Board of Directors' Report, the Consolidated Financial Statements and the Separate Financial Statements, prepared according to the reporting requirements in the European Single Electronic Format (ESEF), are submitted for publication to the Bucharest Stock Exchange and the Financial Supervisory Authority, being available on their dedicated platforms.

Publication of the 2024 Annual Report will not be followed by a conference call.
