In compliance with Article 234 paragraph 1, item i) of the F.S.A. Regulation No. 5/2018 on Issuers of Financial Instruments and Market Operations, SNGN ROMGAZ SA reports the conclusion with Exim Banca Romaneasca S.A., on November 20, 2025, of two term deposits:

• 1) One term deposit in amount of RON 50,000,000.00, due on February 17, 2026;
• 2) One term deposit in amount of RON 150,000,000.00, due on May 11, 2026.

We mention that, SNGN ROMGAZ SA has had deposits at Exim Banca Romaneasca S.A. with a cumulative value over 12 months exceeding the materiality threshold of 10% of the net turnover related to 2024 financial year.
