• Conclusion of two new transactions of the type mentioned in art. 234 paragraph 1, letter i) of F.S.A. Regulation no. 5/2018, with Exim Banca Românească S.A.

In compliance with Article 234 paragraph 1, item i) of the F.S.A. Regulation no. 5/2018 on Issuers of Financial Instruments and Market Operations, S.N.G.N. ROMGAZ S.A reports the conclusion with Exim Banca Romaneasca S.A., on August 14, 2025, of two term deposits, as follows:

• 1) One term deposit in amount of RON 30,000,000.00 due on January 12, 2026
• 2) One term deposit in amount of RON 150,000,000.00 due on February 17, 2026

We mention that, S.N.G.N ROMGAZ S.A has had deposits at Exim Banca Romaneasca S.A. with a cumulative value over 12 months exceeding the materiality threshold of 10% of the net turnover related to 2024 financial year.
