· Conclusion of two new transactions of the type mentioned in art. 234 paragraph 1, letter i) of F.S.A. Regulation no. 5/2018 with Exim Banca Românească S.A.

In compliance with Article 234 paragraph 1, item i) of the F.S.A. Regulation No. 5/2018 on Issuers of Financial Instruments and Market Operations, S.N.G.N. Romgaz S.A reports the conclusion with Exim Banca Romaneasca S.A., on May 23, 2025, of two term deposits, namely:

• One term deposit in amount of RON 85,000,000.00, due on August 11, 2025
• One term deposit in amount of RON 120,000,000.00 due on September 15, 2025

We mention that, S.N.G.N Romgaz S.A has had deposits at Exim Banca Romaneasca S.A. with a cumulative value over 12 months exceeding the materiality threshold of 10% of the net turnover related to 202a financrial year.
