Significant event to be reported:

· Notice of termination of Design and Works Contract no. 40928/April 03, 2023 for "Completion of works and commissioning of CTE lernut by building a new combined cycle gas turbine power plant" concluded between S.N.G.N. ROMGAZ S.A, as Purchaser and DURO FELGUERA S.A., as Executor

In compliance with the provisions of Law No. 24/2017 and F.S.A. Regulation No 5/2018, S.N.G.N. ROMGAZ S.A. informs its shareholders and investors upon the fact that, following the non-execution of the contractual obligations (including the obligation to execute the works in due time) by the Executor, by Resolution No. 68 of September 11, 2025, the Board of Directors expressed its agreement for the termination of the Contract No. 40928/April 3, 2023, having as object the "Completion of works and commissioning of CTE lernut by building a new combined cycle gas turbine power plant".

Accordingly, on September 11, 2025, S.N.G.N. ROMGAZ S.A. sent the notice of termination of the Design and Works Contract No. 40928/April 3, 2023 to the Executor.

The notice of termination will take effect on the 31st day from the receipt of the notification by the Executor.
