Significant event to be reported:

· Conclusion of two new transactions of the type mentioned in art. 234 paragraph 1, letter i) of F.S.A. Regulation no. 5/2018

In compliance with Article 234 paragraph 1, item i) of the F.S.A. Regulation No. 5/2018 on Issuers of Financial Instruments and Market Operations, S.N.G.N. ROMGAZ S.A reports the conclusion, on August 11, 2025, of two term deposits, as follows:

• 1) One term deposit with Banca Comercială Română S.A., in amount of RON 200,000,000.00 due on August 18, 2025;
• 2) One term deposit with Exim Banca Românească S.A., in amount of RON 110,000,000.00 due on January 12, 2026.

We mention that, S.N.G.N ROMGAZ S.A has had deposits at each of the two aforementioned banks, with a cumulative value over 12 months exceeding the materiality threshold of 10% of the net turnover related to 2024 financial year.
