· Conclusion of six new transactions of the type mentioned in art. 234 paragraph 1, letter i) of F.S.A. Regulation no. 5/2018

In compliance with Article 234 paragraph 1, item i) of the F.S.A. Regulation No. 5/2018 on Issuers of Financial Instruments and Market Operations, S.N.G.N. Romgaz S.A reports the conclusion, on June 16, 2025, of six term deposits, as follows:

• 1) One term deposit with Raiffeisen Bank Romania S.A., in amount of EUR 50,000,000, due on August 18, 2025;
• 2) One term deposit with Banca Transilvania S.A., in amount of EUR 50,000,000, due on September 22, 2025;
• 3) One term deposit with Banca Transilvania S.A., in amount of EUR 17,140,000.00, due on September 29, 2025;
• 4) One term deposit with Banca Transilvania S.A., in amount of EUR 44,673,000.00, due on October 20, 2025;
• 5) One term deposit with Banca Transilvania S.A., in amount of EUR 23,750,000.00, due on September 29, 2025;
• 6) One term deposit with Exim Banca Romaneasca S.A., in amount of RON 451,000,000.00, due on July 23, 2025;

We mention that, S.N.G.N Romgaz S.A has had deposits at each of the three aforementioned banks with a cumulative value over 12 months exceeding the materiality threshold of 10% of the net turnover related to 2024 financial year.
