On February 12, 2014, Edward H. Rensi informed Snap-on Incorporated (the “Company”) that he would be resigning from the Company’s Board of Directors effective February 13, 2014. Mr. Rensi’s related communication stated that his decision to resign did not relate to any disagreement on matters relating to the Company’s operations, policies or practices.
