Snam: positive outcome of the Tender Offer on its notes, repurchased for a total nominal amount of about € 629 million

San Donato Milanese (MI), 7 December 2020 – Snam (rated Baa2 by Moody's, BBB+ by S&P and BBB+ by Fitch) launched, on 30 November 2020, a Tender Offer addressed to holders of notes already issued by the company under the Euro Medium Term Note Programme, which was successfully completed on 4 December 2020 with the purchase of notes for a total nominal amount of € 629,364,000.

The transaction is consistent with the optimization process of Snam's debt structure and cost of capital, in line with the company's targets.

The transaction completed today represents the latest of six liability management exercises that, from 2015 to date, have contributed to reduce Snam's cost of debt from 2.4% in 2016 to around 0.9% in the first nine months of 2020.

Based on the terms and conditions of the Tender Offer, the relevant results are listed in detail below:

  • €300,000,000 Floating Rate Notes due February 2022, of which is outstanding €300,000,000 (XS1568906421), for a total nominal amount of € 149,466,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €150,534,000;
  • €1,000,000,000 5.250 per cent. Notes due 19 September 2022, of which is outstanding €601,790,000 (XS0829190585), for a total nominal amount of € 19,336,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €582,454,000;
  • €750,000,000 1.500 per cent. Notes due 21 April 2023, of which is outstanding €246,284,000 (XS1126183760), for a total nominal amount of € 56,151,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €190,133,000;

  • €900,000,000 1.000 per cent. Notes due 18 September 2023, of which is outstanding €595,582,000 (XS1881004730), for a total nominal amount of € 73,895,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €521,687,000;
  • €750,000,000 1.375 per cent. Notes due 19 November 2023, of which is outstanding €195,204,000 (XS1318709497), for a total nominal amount of € 27,808,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €167,396,000;
  • €600,000,000 3.250 per cent. Notes due 22 January 2024, of which is outstanding €389,854,000 (XS1019326641), for a total nominal amount of € 5,120,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €384,734,000;
  • €350,000,000 Floating Rate Notes due 2 August 2024, of which is outstanding €350,000,000 (XS1657785538), for a total nominal amount of € 243,789,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €106,211,000; and
  • €500,000,000 1.250 per cent. Notes due 25 January 2025, of which is outstanding €392,447,000 (XS1555402145), for a total nominal amount of € 53,799,000. Upon completion of the transaction the notes still outstanding will be in a nominal amount of €338,648,000.

The results of the Tender Offer are available on the website www.bourse.lu.

Snam will pay the overall amount in cash on 9 December 2020.
