Smith & Nephew plc (the "Company")

Transaction in Own Shares

The Company has today cancelled 36,000,000 of its Ordinary Shares of US 20¢ each ("Shares") previously held in Treasury.  

Following the cancellation of these Shares the Company holds 27,803,759 Shares in Treasury. The number of Shares in issue (less Treasury Shares) is 896,729,074. This figure should be used by shareholders as the denominator when determining whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

This announcement is made in accordance with the requirements of LR 12.6.4.
