Smartoptics Group ASA: Disclosure of shareholding

23 September 2025: K-Spar Industrier AS ("K-Spar Industrier") has today sold 6,576,422 shares in Smartoptics ASA (the "Company"), representing approximately 6.71% of the share capital and votes in the Company, at a price of NOK 22.00 per share for a total transaction size of NOK 145 million (the "Transaction").

Following completion of the Transaction, K-Spar Industrier will own 6,500,000 shares in the Company, representing approximately 6.63% of the Company, and its shareholding will as such fall below the 10% disclosure threshold of the Norwegian Securities Trading Act. K-Spar Industrier has entered into a customary 180-days lock-up agreement for its remaining shareholding in the Company after the Transaction.

ABG Sundal Collier ASA and Skandinaviska Enskilda Banken AB (publ) acted as joint bookrunners in connection with the Transaction.
