Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Smart Parking Limited (ASX:SPZ) ( Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

As previously announced the Company determined, pursuant to Listing Rule 7.7.1(a) of the ASX Listing Rules and section 9A(3)(a) of the Corporations Act, that it would be unreasonable to make or extend offers to shareholders with a registered address outside of Australia and New Zealand under the retail component of the 2 for 5 accelerated non-renounceable pro rata entitlement offer, announced on 19 February 2014 ( Excluded Retail Shareholders ).

Pursuant to section 615 of the Corporations Act, the Company appointed Baillieu Holst Ltd to act as nominee for the Excluded Retail Shareholders. In accordance with the terms of the agreement governing the appointment of the nominee, the Company has today issued 849,860 fully paid ordinary shares in the Company ( Excluded Retail Shares ) to Baillieu Holst Ltd, in its capacity as nominee for the Excluded Retail Shareholders.

In accordance with the terms of the agreement governing the appointment of the nominee, Baillieu Holst Ltd will sell the Excluded Retail Shares and distribute the proceeds of any such sale to the Excluded Retail Shareholders.

The Company advises that:

• a. the Excluded Retail Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b. this notice is being given under section 708A(5)(e) of the Corporations Act;

• c. as at the date of this notice, the Company has complied with:

• i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

• ii. section 674 of the Corporations Act; and

• d. as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
