Item 8.01 Other Events.

On June 5, 2015, SM Energy Company (the “Company”) issued a press release announcing the expiration and final results of its previously announced tender offer and consent solicitation (the “Tender Offer”) commenced on May 7, 2015, for any and all of the Company’s 6.625% Senior Notes due 2019. A copy of the press release is filed as Exhibit 99.1 to this report and incorporated by reference herein.
