Dear Sir,

Completion of capital raising and -disclosure pursuant to ASX Listing Rule 3.10.5A

Money3 announces that it recently completed a capital raising to sophisticated and institution investors. A total of 11,250,000 fully paid ordinary shares were issued at an issue price of 0.40. representing a price equal to 94.56% of the 15 day VWAP prior to the 20th November 2012.

For the purposes of ASX Listing Rule 3.10.5A, the following information is disclosed to investors:

(a) details of the dilution to the existing holders of ordinary securities caused by the issue;

(b) where issued for cash consideration, a statement of the reasons why the eligible entity issued the equity securities as a placement under 7.1A and not as a pro-rata issue;

Given the response to the pro-rata issue in March 2011, Money 3 determined that interest in a further pro-rata issue at this time would be moderate. Money3 opted to offer the new securities to new investors. The introduction of new investors will enable the company to have a more diverse register and to be better equipped to raise funds in the future should the company have further capital requirements.

(c) details of any underwriting arrangements

The placement was underwritten by InvestorFirst Securities Limited and the cost of the underwriting was $195,000 plus GST.
