bmp AG/bmp Media Investors: Disposal of Nokaut.pl agreed subject to the
conditions precedent

bmp Media Investors AG & Co. KGaA signed an agreement with the LBO fund
'INVESTOR LEVERAGED BUY OUT FUNDUSZ INWESTYCYJNY ZAMKNIETY AKTYWÓW
NIEPUBICZNYCH' managed by TFI Investors on 8 February 2010 that envisages
the sale and transfer of its entire 34.26% holding in Nokaut.pl to the LBO
fund once the conditions precedent have been met in full. A purchase price
of PLN 5.4 million was agreed.

The conditions precedent relate to the positive conclusion of the due
diligence and the signing of a participation agreement between the other
shareholders of Nokaut.pl and the LBO fund, the conclusion of a termination
agreement concerning the existing participation agreement and the receipt
of the required waivers from the other shareholders.
Conclusion of the transaction is planned for 25 February 2010, with the
option of extending this deadline by five days.
