bmp AG: Acquisition of 46.95% of Internet Service S.A., Wroclaw

The issuer is solely responsible for the content of this announcement. —————————————————————————— bmp AG: Acquisition of 46.95% of Internet Service S.A., Wroclaw Berlin, 11 October 2006 bmp AG is participating once again in Internet Service S.A., the operator of the mojeauto.pl automobile portal. bmp’s earlier involvement with the company dates back to the years 2000-2003, when it shared participation with CEEV, one of the companies it manages, an arrangement that ended with separation under the auspices of an MBO. The transaction now agreed upon proceeds from the exercise of an option contracted for in 2003 and consists of the acquisition of existing stock and an increase of capital stock, ultimately leading to a 46.95% share for bmp AG. bmp undertakes this step together with its joint venture Bankier.pl, which will assume control of an equally large share and which supports its ‘build and buy’ strategy for increasing its range of operations. bmp is making it possible for Bankier.pl S.A. to share in the option reserved for bmp and is in addition providing this company with a performance-based option for taking over the joint venture held by bmp in Internet Service S.A. by the middle of 2008. Internet Service S.A: operates one of the leading online information services for the automobile sector, with circa 240,000 users and nearly 3.5 million page impressions. The linking of the two services provides the user groups with a significant surplus value; automotive and financing services will now be combined.
