Independent Auditor's Review Report on Unaudited Financial Results

Review Report to The Board of Directors SKYLINE MILLARS LIMITED

    1. We have reviewed the accompanying statement of unaudited financial results ('the Statement) of SKYLINE MILLARS LIMITED (the 'Company') for the quarter and nine months ended December 31, 2025, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended), including relevant circulars issued by the SEBI from time to time.
    1. This Statement, which is the responsibility of the Company's Management and has been approved by the Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34, Interim Financial Reporting ('Ind AS 34), prescribed under Section 133 of the Companies Act, 2013 as amended, read with relevant rules issued there under and other accounting principles generally accepted in India. Our responsibility is to issue a report on these financial statements based on our review.
    1. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410, Review of Interim Financial Information Performed by the Independent Auditor of the Entity, issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with the Standards on Auditing specified under Section 143(10) of the Act, and consequently, does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.
    1. Based on our review conducted as above, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in Ind AS 34, prescribed under Section 133 of the Act as amended, the SEBI Circulars, and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in term of the Listing Regulations 33 of the SEBI (Listing Obligation and Disclosure Requirement) Regulation 2015, as amended, including the manner in which it is to be disclosed, or that it contains any material misstatement.

  • 3 'The Company Is primarily engaged In Real Estate business and after discontinuation of Umreth division there Is only one reportable segment.
  • 4 Figures for the previous perlods have been re-grouped / re-arranged wherever necessary.
  • 5) SMLis unable to launch the next phase of development at Ghatkopar since 2011 as matter is pending in Supreme Court.
  • 'The Government of India has consolidated 29 existing labour laws into four comprehensive codes (the Code on Wages, the Code on Soclal Security, the Industrial Relations Code, and the Occupational Safety, Health and Working Conditions Code), most of which became effective from November 21, 2025. The Increase In expanses resulting from the change in law, is not material and has been recognised in the Statement of Profit and Loss during the quarter ended December 31, 2025 in accordance with Ind AS 19. The actual impact may vary upon finalisation of the Central and State rules under the new Codes, and the Company will continue to monitor the regulatory landscape.
