Dear Sir/Madam,
Pursuant to Regulation 30 of the SEBI Listing Regulations, please take note that the Board of Directors of the Company has, at its Meeting held today i.e. June 03, 2026, considered and approved, inter-alia, the proposal for fund raising up to an aggregate amount of Rs. 4,33,49,98,940/- (Rupees Four Hundred Thirty Three Crores Forty Nine Lakhs Ninety Eight Thousand Nine Hundred and Forty Only) by way of issuance of upto 92,23,402 (Ninety Two Lakhs Twenty Three Thousand Four Hundred and Two) Equity Shares of the Company having face value of Re. 1/- (Rupee One) each at a price of Rs. 470/- per share (including premium of Rs. 469/- per share) to the Investors falling under the Non-Promoter category by way of preferential allotment through private placement, subject to the approval of Members of the Company.
Kindly take note that an Extra Ordinary General Meeting is scheduled to be held on Friday, June 26, 2026 through Video Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”). The Notice of the same shall be sent in due course.
Disclosure under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 is annexed herewith.
