Subject: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements Requirements) Regulations, 2015 regarding effectiveness of Scheme of Amalgamation between Subsidiaries of the Company

This is in furtherance of our intimation dated November 02, 2023, regarding intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, with regard to the Scheme of Amalgamation (“Scheme”), involving amalgamation of M/s. Plastoranger Advanced Technologies Private Limited (“Transferor”), a step-down subsidiary of the Company, with M/s. Walter Pack Automotive Products India Private Limited(“Transferee”), material subsidiary of the Company, and their respective shareholders and creditors under Section 233 of the Companies Act, 2013 read with the Rules made thereunder).

We wish to inform the exchanges that, the Scheme has been approved by the Regional Director, Western Region, Ministry of Corporate Affairs, vide its Order No. RD/WR/Sec.233/Walter/AC0621059/2025/7885 dated February 24, 2026, under Section 233 of the Companies Act, 2013 read with the applicable rules framed thereunder.

The certified copy of the said order was duly filed with the Registrar of Companies (‘RoC’) in e-Form INC-28. The confirmation of approval from the RoC was received on 14 March, 2026 at 3 PM vide SRN: AC2561716. Accordingly, the Scheme has become effective on the date of approval by the RoC. The Appointed Date of the Scheme is April 1, 2025.

The aforesaid information is also being placed on the website of the Company https://www.sjsindia.com/ You are requested to kindly take the same on record.
