Item 2.02 Results of Operations and Financial Condition.

On April 27, 2011, Developers Diversified Realty Corporation (the “Company”) issued a News Release containing financial results of the Company (the “News Release”) and a quarterly financial supplement containing financial and property information of the Company (“Quarterly Supplement”) for the three months ended March 31, 2011. Among other things, the News Release reports net income of $0.01 per diluted share for the three months ended March 31, 2011 as compared to a net loss of $0.15 per diluted share for the three months ended March 31, 2010. A copy of the News Release is attached hereto as Exhibit 99.1 and a copy of the Quarterly Financial Supplement is attached hereto as Exhibit 99.2 and are each incorporated herein by reference.
